1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the SoCal Flag website located at socalflag.com and its subdomains (the "Site"), operated by Orange County Ventures LLC DBA SoCal Flag ("SoCal Flag," "we," "us," or "our"). By accessing or using the Site in any way — including browsing, submitting content, signing up for emails, or contacting us — you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site.

These Terms apply to all visitors, users, submitters, and others who access or use the Site.

2. Description of SoCal Flag Services

SoCal Flag is a Southern California flag football media, directory, and information website. Our services include, without limitation:

• News articles, editorial coverage, and summaries related to Southern California flag football.
• A directory of flag football teams, leagues, tournaments, fields, and programs.
• Rules guides, player-pathway information, and girls flag football resources.
• Event listings and tournament calendars relevant to the Southern California flag football community.
• Email newsletter and subscription services.
• A Get Listed feature allowing organizations and individuals to submit information for potential directory inclusion.

SoCal Flag is an independent media and directory platform. We are not a governing body, sports organization, league, or official sanctioning authority.

3. No Affiliation or Endorsement Unless Expressly Stated

SoCal Flag is an independent platform. Unless we expressly state otherwise in a specific piece of content or on a specific page, we are not affiliated with, sponsored by, endorsed by, or officially connected to any team, league, tournament operator, school, athletic association, national governing body, sports brand, or other organization whose name, logo, or content may appear on the Site. References to third-party organizations are for informational purposes only.

4. Informational Purposes Only

All content on SoCal Flag is provided for general informational purposes only. While we strive to publish accurate, up-to-date information, we cannot guarantee that all information on the Site is complete, accurate, current, or error-free. Time-sensitive details — including event dates, registration deadlines, fees, schedules, roster eligibility, and rules — should always be verified directly with the official organizer, league, or governing body before you rely on them.

Nothing on this Site constitutes legal, financial, medical, athletic training, or professional advice of any kind.

5. User Eligibility

The Site is intended for general audiences including parents, coaches, athletes, organizers, and fans of flag football in Southern California. By using the Site, you represent that:

• You are at least 13 years of age. If you are under 18, you represent that you have parental or guardian consent to use the Site and agree to these Terms.
• You have the legal authority to enter into these Terms on your own behalf or on behalf of the organization you represent.
• Your use of the Site complies with all applicable laws and regulations.

The Site is not directed to children under 13. If you are under 13, you may not use the Site or submit any personal information.

6. User Submissions and User Content

When you submit content to SoCal Flag — including via the Get Listed form, contact form, news tip submissions, or any other submission mechanism — you represent and warrant that:

• You have all necessary rights, licenses, and permissions to submit the content, including any photos, logos, team names, league names, event information, links, and other materials.
• The submission does not violate the intellectual property rights, privacy rights, or other rights of any third party.
• The information you submit is truthful, accurate, and not misleading.
• You are authorized to submit the content on behalf of any organization, team, or entity you represent.

Content License

By submitting content to SoCal Flag, you grant SoCal Flag a nonexclusive, worldwide, royalty-free license to use, reproduce, display, edit, excerpt, publish, distribute, and promote the submitted content for the purposes of operating, improving, and promoting the Site and its services. This license continues for as long as the content remains on the Site and for archival purposes thereafter.

You retain ownership of your original content. The license you grant to us does not transfer ownership of your content to SoCal Flag.

7. Public Listing, News, Directory, and Event Submissions

Content submitted for listing, directory inclusion, news publication, or event promotion is understood to be intended for potential public display on SoCal Flag. You acknowledge that:

• Submitted content — including team names, league names, tournament details, event dates, locations, website URLs, images, and logos — may be published on the Site if approved by our editorial team.
• Published content may be indexed by search engines and visible to the general public.
• We reserve the right to decline, hold, edit, excerpt, supplement, or remove any submitted content at our sole discretion, without obligation to explain our decision.
• You should not submit home addresses, private phone numbers, financial information, or other sensitive personal information you do not want published.

8. Accuracy of Submitted Information

You are responsible for the accuracy of information you submit to SoCal Flag. Submitting false, misleading, deceptive, or fraudulent information is prohibited and may result in removal of published content, blocking of future submissions, and potential legal liability. SoCal Flag is not liable for inaccuracies in user-submitted content.

9. Content Moderation and Editorial Discretion

SoCal Flag operates an editorial review process. All submitted content is subject to review and approval before publication. We reserve the right, but are not obligated, to:

• Approve, reject, edit, supplement, excerpt, or remove any content at our sole discretion.
• Add context, corrections, links, or additional information to any published content.
• Remove or unpublish content that is inaccurate, outdated, in violation of these Terms, or that we determine is no longer appropriate for the Site.
• Prioritize, feature, or deprioritize listings and content based on editorial judgment.

SoCal Flag is not a neutral conduit. We make editorial decisions, and our publication of submitted content does not constitute an endorsement of its accuracy or the submitting party.

10. Prohibited Conduct

You agree not to engage in any of the following prohibited activities when using the Site:

• Submitting false, fraudulent, misleading, defamatory, harassing, or unlawful content.
• Infringing the intellectual property, privacy, or other rights of any person or entity.
• Using the Site to send spam, unsolicited commercial communications, or phishing messages.
• Attempting to gain unauthorized access to any portion of the Site, our systems, or other users' accounts or data.
• Introducing viruses, malware, bots, scrapers, or other harmful code or automated tools without our written permission.
• Scraping, copying, republishing, or commercially reusing Site content without our prior written permission (see Section 12).
• Impersonating SoCal Flag, our team, or any other person or entity.
• Using the Site in any manner that could disable, overburden, or impair our infrastructure.
• Violating any applicable local, state, national, or international law or regulation.

11. Intellectual Property

All original content on SoCal Flag — including editorial articles, site design, graphics, logos, compiled directory data, and original photography — is owned by or licensed to Orange County Ventures LLC DBA SoCal Flag and is protected by applicable copyright, trademark, and other intellectual property laws.

11a. Permitted Personal and Noncommercial Use

You may access and use the Site for personal, noncommercial informational purposes. You may share links to individual pages. You may quote brief excerpts of content for commentary, criticism, or educational purposes, provided you clearly attribute the content to SoCal Flag and link back to the original source.

11b. No Scraping, Copying, Republication, or Commercial Reuse Without Permission

You may not, without our prior written permission:

• Scrape, crawl, or systematically extract content from the Site using automated tools, bots, or scripts.
• Copy, reproduce, republish, or redistribute substantial portions of Site content on other websites, applications, or platforms.
• Use Site content for commercial purposes, data products, AI training datasets, or competitive purposes.
• Mirror or frame the Site or any portion of its content.

12. Third-Party Links and Services

The Site contains links to third-party websites, including official league and tournament websites, sports organizations, news sources, and other external resources. These links are provided for informational purposes only. SoCal Flag does not endorse, control, or assume responsibility for the content, privacy practices, accuracy, or availability of any third-party website or service. Your use of third-party websites is governed by their respective terms and privacy policies.

13. Events, Leagues, Tournaments, Teams, and Programs Operated by Third Parties

SoCal Flag provides information about flag football events, leagues, tournaments, teams, and programs that are owned and operated by independent third parties. SoCal Flag does not organize, manage, sanction, insure, or operate these events or programs, and is not responsible for their conduct, safety, scheduling changes, cancellations, registration processes, fees, rules, or outcomes.

Parents, coaches, athletes, and other users must verify all details — including dates, times, locations, registration deadlines, fees, eligibility requirements, and safety protocols — directly with the official organizer, league, or governing body before registering, attending, or participating.

14. Future Payments, Commerce, Merchandise, Affiliate, and Sponsor Links

SoCal Flag may in the future offer merchandise, event ticketing, registration services, sponsor integrations, or affiliate links to third-party products and services. When such features are introduced:

• Purchases and payments will be subject to additional terms presented at the time of transaction.
• Affiliate links may generate commissions for SoCal Flag when you purchase from linked third-party retailers. Affiliate relationships will be disclosed.
• Sponsor placements will be identified as sponsored content where required by law or applicable guidelines.
• SoCal Flag is not responsible for the quality, availability, or fulfillment of products or services offered by third-party vendors.

15. AI-Assisted and Software-Assisted Editorial Workflow

SoCal Flag may use software and AI-assisted workflows to help gather, organize, summarize, draft, or review content. AI-assisted tools may be used to help process inbound content submissions, draft article summaries, organize directory data, or assist with editorial tasks. However, SoCal Flag retains full editorial control over all published content. Human editors review, approve, and take responsibility for content before it is published on the Site.

The use of AI-assisted workflows does not reduce our commitment to accuracy, and we encourage users to report errors or inaccuracies to info@socalflag.com.

16. Corrections and Reporting Errors

We are committed to accuracy and welcome corrections. If you believe any content on SoCal Flag contains an error, outdated information, or inaccurate details about your organization, team, event, or program, please contact us at info@socalflag.com with the specific URL and a description of the issue. We will investigate and make corrections at our editorial discretion.

17. Disclaimers

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOCAL FLAG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the Site will be continuously available, secure, or free from errors, viruses, or other harmful components. We do not guarantee the accuracy, completeness, or timeliness of any content, including event listings, schedules, and directory information.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORANGE COUNTY VENTURES LLC DBA SOCAL FLAG, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, INCLUDING BUT NOT LIMITED TO:

• Reliance on inaccurate, incomplete, or outdated information published on the Site.
• Events, leagues, tournaments, or programs that are cancelled, rescheduled, or different from as described.
• Personal injury or property damage arising from participation in activities referenced on the Site.
• Unauthorized access to or alteration of your data or submissions.
• Loss of profits, data, goodwill, or other intangible losses.

IN JURISDICTIONS WHERE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

19. Indemnification

You agree to indemnify, defend, and hold harmless Orange County Ventures LLC DBA SoCal Flag and its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) content you submit to the Site; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of the rights of any third party.

20. Termination and Removal

We reserve the right to terminate or restrict your access to the Site, remove content you have submitted, and block future submissions at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms, submission of false or harmful content, or conduct that we determine is detrimental to the Site or its users. Termination of your access does not affect our rights with respect to content you have already submitted.

21. DMCA / Copyright Complaints

SoCal Flag respects intellectual property rights and responds to valid claims of copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe that content on the Site infringes your copyright, please send a written notice containing the following to info@socalflag.com:

• A description of the copyrighted work you claim has been infringed.
• A description of the infringing material and its location on the Site (URL).
• Your name, address, telephone number, and email address.
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
• Your electronic or physical signature.

22. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you also acknowledge and agree to the practices described in our Privacy Policy.

23. Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Site after any update constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. If you object to any revised Terms, your sole remedy is to stop using the Site.

24. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in California, with venue in Orange County, California, where appropriate, and you consent to personal jurisdiction in such courts.
